1. The agreement
These Terms of Service (“Terms”) are a contract between you and Altinea LLC (“Altinea”, “we”, “us”), the operator of KairoDesk (kairodesk.com and app.kairodesk.com). By creating an account or using KairoDesk, you accept these Terms and our Privacy Policy.
If you do not agree, do not use the service.
2. The service
KairoDesk is an AI work assistant for independent professionals. It reads the data sources you connect (such as Gmail, Google Calendar, and Stripe) and the content you upload, and produces briefs, contract analyses, commitment tracking, invoice reminders, and meeting summaries — each recorded in an auditable Action Ledger and subject to your review.
KairoDesk proposes; you decide. Outbound actions (such as sending an email) happen only when you explicitly approve them.
3. Accounts
- You must be at least 18 and able to form a binding contract.
- You must provide accurate account information and keep your sign-in method secure. You are responsible for activity under your account.
- KairoDesk is built for business use by individuals and small teams. One account per person.
4. Plans, trials, and billing
- Free plan. 25 actions per week, no credit card, no time limit.
- 14-day Plus trial. New accounts get a 14-day trial of the Plus plan. No credit card is collected and there is no auto-charge: when the trial ends, you choose to subscribe or you continue on the Free plan.
- Paid subscriptions (Plus, Pro) are billed in advance, monthly or annually, in USD, through our payment processor Stripe. Prices are shown on the pricing page; applicable taxes may be added based on your billing address.
- Renewal. Paid subscriptions renew automatically at the end of each billing period until you cancel.
- Price changes. We will notify you by email at least 30 days before any price increase takes effect. The new price applies from your next renewal; if you disagree, cancel before it does.
- Quotas. Each plan includes a monthly action quota and fair-use limits described on the pricing page. We will warn you before you hit a limit — we don’t silently charge overages.
5. Cancellation and refunds
- Cancel anytime from Settings → Billing — no email required, no retention call, no exit fee.
- Cancellation takes effect at the end of your current billing period. You keep full access until then, and your account then moves to the Free plan.
- Refunds. Payments already made are non-refundable for partial periods, except: (a) where required by applicable law; (b) billing errors on our side, which we refund in full; and (c) within 14 days of your first annual payment, if KairoDesk isn’t what you expected — email support@kairodesk.com and we will refund it, no questions asked. Monthly charges are not covered by this money-back window.
- After cancellation, your Action Ledger remains exportable for 60 days, then is permanently deleted (see the Privacy Policy).
6. Connected accounts and Google user data
- When you connect a third-party account (Google, Microsoft, Stripe), you authorize KairoDesk to access it on your behalf, within the scopes shown on the consent screen and subject to those providers’ own terms.
- Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as detailed in our Privacy Policy.
- You can disconnect any provider at any time from Settings → Connectors (or from the provider’s own security settings). Disconnecting deletes our stored tokens and stops all related processing.
- You are responsible for having the right to connect the accounts you connect — for example, don’t connect an employer’s mailbox you are not authorized to use with third-party tools.
7. Your content
Everything you connect or upload — emails, documents, invoices, notes — remains yours. You grant Altinea a limited, non-exclusive license to host and process that content solely to operate the features you use, consistent with the Privacy Policy. That license ends when the content is deleted.
We never use your content to train AI models, and we never read content inside a Privacy Zone you designated.
8. AI outputs — read this one
KairoDesk uses large language models. They are useful and they are fallible. Outputs may be incomplete, outdated, or wrong, and you are responsible for reviewing them before relying on them or sending them to anyone.
- Obligation Radar is not a lawyer. Contract analyses are structured summaries, not legal advice. For high-stakes contracts, consult a licensed attorney.
- Cash-Flow Compass is not an accountant. Forecasts and tax estimates are informational heuristics, not tax, accounting, or investment advice.
- Drafts (replies, reminders, follow-ups) are suggestions. Nothing is sent without your explicit approval — and once you approve, the message is yours.
9. Acceptable use
Don’t use KairoDesk to:
- Break the law, infringe others’ rights, or process data you have no right to process.
- Send spam or unsolicited bulk messages through the send features.
- Probe, breach, or test the security of the service, or access another user’s data (responsible disclosure to security@kairodesk.com is welcome).
- Resell the service, scrape it, or use automated means to exceed your plan’s quotas.
- Build a competing dataset from our outputs or reverse engineer the service.
We may suspend accounts that put other users or the service at risk.
10. Intellectual property
The KairoDesk software, design, and brand belong to Altinea LLC. These Terms grant you a personal, non-transferable right to use the service while your account is in good standing — nothing more.
If you send us feedback, we may use it without obligation. The outputs generated for you from your content are yours to use.
11. Termination
- By you: delete your account at any time from Settings. Data deletion follows the Privacy Policy.
- By us: we may suspend or terminate accounts that materially breach these Terms, after notice where practicable. If we discontinue the service entirely, we will give you at least 60 days’ notice and a way to export your data.
12. Disclaimers and limitation of liability
The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
To the maximum extent permitted by law, Altinea’s total liability for any claim arising out of or relating to the service is limited to the amounts you paid us in the 12 months before the claim, and neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or willful misconduct. You agree to indemnify Altinea against third-party claims arising from your breach of Section 9 (Acceptable use).
13. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction. If you are a consumer in a jurisdiction whose law grants you non-waivable rights or a local forum, those rights are unaffected.
14. Changes to these Terms
If we make a material change, we will email you and post a notice in the app at least 14 days before it takes effect. Continuing to use KairoDesk after that date means you accept the new Terms; if you don’t, cancel before it — and if you are on an annual plan and a material change harms you, we will refund the unused portion.
